Marketplace terms

Last updated October 4, 2026. These terms govern the SHAI Marketplace, operated by Summit Holdings And Investments LLC, doing business as SHAI ("SHAI", "we"). They are in four parts: the seller agreement, the buyer terms and licence, the refund policy, and the prohibited-listings policy. By listing, buying or installing anything on the Marketplace you agree to the parts that apply to you, alongside SHAI's terms of service and privacy policy.

What the product enforces

  • Every listing and every new version is read by a SHAI operator before anybody can install it. There is no automated approval.
  • A paid listing is a one-time purchase through Stripe. SHAI never sees or stores a card, and a seller's payouts are made by Stripe to the seller's own connected account.
  • SHAI keeps a percentage of each paid sale, set by the operator (20% unless changed), and pays the card processing out of it. The lowest paid price is set the same way ($5.00 unless changed).
  • All sales are final: a buyer ticks a box saying so before checkout, and cannot refund a purchase themselves. SHAI's operator can refund one where it is fair or the law requires; a refund returns the money through Stripe, reverses the seller's share and SHAI's fee, and switches the listing's skills off on the buyer's account.
  • Only an account's owner or an admin can buy or install a listing, and only an account on a paid plan, with a public seller name and Stripe payouts set up, can sell one.
  • A listing is skills — instructions and the text files they cite — never client data, profiles or credentials. Every submission is scanned, and one carrying a secret is refused.
  • An installed listing is the buyer's own copy, in their own account and repository, running on their own keys and credits. The seller never sees the buyer's account.

Seller agreement

Who can sell

Anyone with a SHAI account may publish a free listing. To sell a paid listing, your account must be on a paid plan (a trial is not one), have a public seller name, and have Stripe payouts set up from Settings → Selling. Only the account's owner or an admin can list on its behalf.

Stripe Connect handles your payouts. Stripe collects your identity, bank and tax details on its own pages and you accept Stripe's Connected Account Agreement when you onboard. SHAI never sees or stores your bank details or identity documents.

What you promise about your listing

  • It is your own work, or you have every right needed to sell it, and it does not copy another listing on the Marketplace or anyone else's work.
  • It contains skills only — instructions and the text files they cite. It contains no client data, personal data, profiles, passwords, API keys or other credentials.
  • Its name, description, category and price are your own words and are accurate. You do not promise results, income or earnings you cannot back up.
  • It complies with the prohibited-listings policy below and with the law where you and your buyers are.

The licence you give SHAI

You keep ownership of your listing. You grant SHAI a worldwide, non-exclusive, royalty-free licence to host, review, store, copy, display outlines of, and distribute your listing to buyers and to accounts that install it, for as long as it is listed and afterwards for any copy a buyer already holds. Each buyer receives the licence described in the buyer terms.

Review and publication

A SHAI operator reads every listing, and every new version, before anybody outside your account can see or install it. SHAI may approve, decline or remove any listing at its discretion, and tells you the reason in its own words: for a declined listing on Settings → Selling, and for a removal by email. Approval is not an endorsement and not a promise about results.

Price, fees and payouts

  • You set the price of a paid listing, at or above the lowest paid price shown on every Marketplace screen ($5.00 unless SHAI changes it).
  • Each paid sale is a one-time purchase through Stripe. SHAI keeps the Marketplace fee shown on every Marketplace screen (20% unless SHAI changes it) and pays Stripe's card processing out of that fee. Stripe transfers the rest to your connected account and pays it out on Stripe's schedule.
  • A change to the fee or the minimum applies to the next sale, never to a sale already made.
  • Updates you ship to buyers who already hold your listing are free to them.
  • You are responsible for your own taxes on what you earn. Where the law requires, Stripe issues tax forms (such as a Form 1099-K in the United States) from your Stripe dashboard.

Refunds, disputes and negative balances

All sales are final for buyers. SHAI's operator may still refund a buyer where it judges it fair or the law requires it (see the refund policy). A refund reverses your share of that sale and returns SHAI's fee to the buyer.

If a buyer's card issuer opens a dispute, SHAI responds to it. Where a dispute is lost, or a refund or reversal leaves your connected account with a negative balance, SHAI may recover that amount from your future payouts, or from you directly, to the extent the law allows.

Takedowns and ending

You may ask SHAI to unpublish your listing at any time by writing to contact@meetshai.com, and SHAI's operator takes it off the Marketplace. Copies buyers already hold stay theirs. SHAI may remove a listing, withhold payouts that relate to a breach, or end your ability to sell if you break these terms, if a valid takedown notice is received, or if continuing would expose SHAI or buyers to legal risk. Sections on licences already granted, refunds, disputes and liability survive the end of this agreement.

Responsibility

You are responsible for your listing. You agree to indemnify SHAI against claims, losses and costs arising from your listing or your breach of these terms, including a claim that your listing infringes someone else's rights.

Buyer terms and licence

Who can buy

Only an account's owner or an admin can buy or install a listing, and an account's owner can remove that permission from any admin on Team. Payment is taken by Stripe's own checkout; SHAI never sees or stores your card.

What you receive

A listing is a set of skills — instructions and the text files they cite. When the payment is confirmed, the listing is added to your account and you can install it. Installing gives your account its own copy, in your own account and repository, running on your own keys and credits. The seller never sees your account. Updates the seller ships, once SHAI has reviewed them, are free to you.

Your licence

You receive a non-exclusive, non-transferable licence to use, edit and run the listing within your own SHAI account and for the businesses that account serves, for as long as you hold that account. You may not resell, relist, redistribute or publish the listing, or a copy of it with changes, on the Marketplace or anywhere else. All sales are final, as set out in the refund policy, and you confirm that before checkout. The licence ends for a purchase that is refunded or charged back.

What is and is not promised

Every listing is read by a SHAI operator before it is published. "Verified by SHAI" means that review happened; it is not a promise about results, accuracy or fitness for a particular purpose, and it is not support. Listings are provided as is. A listing's description is the seller's own, and the seller is responsible for it.

To the fullest extent the law allows, SHAI is not liable for indirect or consequential losses arising from a listing, and SHAI's total liability for any purchase is limited to the amount you paid for it.

Which law governs

These terms are governed by the laws of the state in which Summit Holdings And Investments LLC is organized, in the United States, without regard to its conflict-of-laws rules, except where the law where you live gives you rights that cannot be waived.

Refund policy

All sales are final

A Marketplace listing is a digital product you can read, copy and use the moment your purchase completes. For that reason all sales are final: a buyer cannot cancel or refund a purchase once it is made. Before Stripe's checkout opens, you tick a box confirming you understand this, and the time you ticked it and its exact words are kept with your payment.

Before you buy, "See what's inside" shows every listing's description and an outline of each skill — its summary, section headings and reference file names — so you can judge whether it is what you need.

When SHAI refunds anyway

SHAI's operator may refund a purchase where it judges it fair — for example a duplicate charge, a listing that could not be installed, or a listing materially different from its description — or where the law requires it. Ask at contact@meetshai.com. Nothing in this policy limits a right the law gives you that cannot be waived.

What a refund switches off

A refunded listing's skills are switched off on your account. Your copy stays in your repository, but it stays off: Skills will not switch it back on and editing it keeps it off. To have it back, buy the listing again; paying again switches your copy back on. If your account paid twice for the same listing, refunding either payment leaves the listing on while the other payment covers it.

Card disputes

Please contact contact@meetshai.com before disputing a charge with your card issuer; most problems are resolved faster that way. While a dispute is open, the listing's skills are switched off on your account. SHAI may provide your final-sale acknowledgement to the card issuer as evidence.

Prohibited listings

What may not be listed

  • Anything that evades a platform's own limits, rate limits or bot detection, or automates an account in a way that platform's terms forbid without telling the buyer so.
  • Anything that contacts people without the consent the law requires — including texts or calls without prior express consent, AI-voice calls without prior express written consent, or commercial email without an unsubscribe and postal address.
  • Income, earnings or results claims that are not substantiated.
  • Medical, legal, financial or tax advice presented without a clear disclaimer that it is not professional advice.
  • Copies of another listing or of anyone else's work, or anything that infringes a copyright, trademark or other right.
  • Client data, personal data, credentials, API keys or anything that collects them without consent. Every submission is scanned, and one carrying a secret is refused.
  • Malware, deceptive instructions, or anything designed to harm the buyer's account, data or business.
  • Anything illegal, hateful, harassing, sexually explicit, or that discriminates against people on a protected characteristic.
  • Anything that impersonates a real person or business.

Enforcement

SHAI's operator reviews every listing before publication and may decline, remove or take down any listing that breaks this policy, at any time, and may end a seller's ability to sell.

Reporting a listing and copyright notices

To report a listing, or to send a copyright takedown notice under the Digital Millennium Copyright Act, email contact@meetshai.com with: your contact details; the work you say is infringed; the listing's name or link; a statement that you have a good-faith belief the use is not authorised; a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorised to act for them; and your physical or electronic signature. A seller whose listing is removed may send a counter-notice to the same address. SHAI removes the listings of repeat infringers.
